Proprius Partners and Certior Capital merging to form a specialised asset manager with more than EUR 500 million assets under management

Proprius Partners Ltd has agreed to acquire the business operations of Certior Capital Ltd. Under the arrangement, Certior Capital’s business will become part of Proprius Partners. Together, the companies will form an independent European-focused asset management firm with more than EUR 500 million assets under management and approximately 20 employees.

Certior Capital is a Finnish alternative investment fund manager specialising in European private equity and private credit. Certior’s funds total more than EUR 300 million in size. Over its history, the company’s funds have made investments totaling more than EUR 500 million.

Following closing of the transaction, Certior Capital will continue to operate under its own brand as part of Proprius Partners. Certior’s team will retain its investment independence, focusing on its established investment strategy. Certior’s personnel are committed to the long-term development of the business as part of Proprius Partners. Together, we will continue to seek alpha-generating opportunities, specialising in the most inefficient parts of the markets.

Complementary investment expertise

The strategic rationale for the arrangement is to bring together the expertise of two complementary investment organisations under one combined entity. We see potential in combining Proprius’ listed markets expertise with Certior’s private markets expertise. Certior’s long-standing relationships within European private equity markets and its extensive network built over many years will open new opportunities for the combined entity to identify investment opportunities, pursue co-investments and develop new client solutions.

The transaction strengthens Proprius Partners’ position as an independent and entrepreneur-led asset manager in a market where consolidation has accelerated in recent years. Increased scale, broader investment expertise and a more diversified product offering support Proprius’ ability to grow independently and serve its clients even more comprehensively.

Completion of the transaction

Completion of the transaction is subject to approval by the Finnish Financial Supervisory Authority and the fulfilment of other customary closing conditions. The transaction is expected to be completed in January 2027.

The financial terms of the transaction will not be disclosed.

Proprius Partners’ assets under management prior to completion of the transaction are approximately EUR 220 million.

Certior Capital Ltd

Certior Capital is a Finnish investment company specialising in private equity and alternative investments. The company’s investment activities focus on European private equity funds and co-investments. Certior’s assets under management exceed EUR 300 million, and over its history the company has invested approximately EUR 500 million from its funds into European private equity funds and co-investments.
